Description

Limited liability companies; domestication; dissolution. Requires a limited liability company's surrender of articles of organization to set forth that the plan of domestication was approved by the limited liability company in accordance with law. The measure also provides for the cancellation of the existence of a professional limited liability company in the same manner applicable to other limited liability companies. Amends § 13.1-1078 (“Surrender of articles of organization upon domestication.”), § 13.1-1116 (“Disqualification of member, manager, agent or employee.”), of the Code of Virginia. View Full Text »
