Description

Corporations; filing articles of dissolution.  Requires the State Corporation Commission, before issuing a certificate of dissolution for a stock or nonstock corporation, to find that the person signing the articles of dissolution is listed as a director or principal officer of the corporation on its most recent annual report filed with the Commission. If the corporation has not yet filed an annual report because it has not been in existence for the required time period, the articles of dissolution may be filed by an incorporator. Read the Bill »
