AMENDMENT IN THE NATURE OF A SUBSTITUTE

A BILL to amend the Code of Virginia by adding in Chapter 24 of Title 2.2 an article numbered 27, consisting of sections numbered 2.2-2491 through 2.2-2496, relating to the Advisory Board on Philanthropy and Social Innovation.

Be it enacted by the General Assembly of Virginia:

1. That the Code of Virginia is amended by adding in Chapter 24 of Title 2.2 an article numbered 27, consisting of sections numbered 2.2-2491 through 2.2-2496, as follows:

Article 27.
Advisory Board on Philanthropy and Social Innovation.

§ 2.2-2491. The Advisory Board on Philanthropy and Social Innovation; purpose.

The Advisory Board on Philanthropy and Social Innovation (the Board) is established as an advisory board in the executive branch of state government. The purpose of the Board is to advise the Governor and Cabinet Secretaries on matters related to the promotion and development of innovative funding partnerships between the Commonwealth and philanthropic foundations to encourage programs or policy reforms that would improve the lives of all Virginia residents.

§ 2.2-2492. Membership; terms; quorum; meetings.

The Board shall have a total membership of 12 nonlegislative citizen members to be appointed as follows: three nonlegislative citizen members appointed by the Speaker of the House of Delegates, three nonlegislative citizen members appointed by the Senate Committee on Rules, and six nonlegislative citizen members appointed by the Governor and subject to confirmation by the General Assembly. Nonlegislative citizen members shall be selected for their knowledge of, background in, or experience with the philanthropic community of Virginia. Nonlegislative citizen members of the Board shall be citizens of the Commonwealth.

After the initial staggering of terms, nonlegislative citizen members shall be appointed for a term of four years.

No nonlegislative citizen member shall serve more than two consecutive four-year terms. The remainder of any term to which a member is appointed to fill a vacancy shall not constitute a term in determining the member's eligibility for reappointment.

The Board shall elect a chairman and vice-chairman from among its membership. A majority of the members shall constitute a quorum. The Board shall meet no more than six times each year. The meetings of the Board shall be held at the call of the chairman or whenever the majority of the members so request.

§ 2.2-2493. Compensation; expenses.

Members shall  [ receive such compensation for the performance of their duties as provided in § 2.2-2813. All members shall be reimbursed for all reasonable and necessary expenses incurred in the performance of their duties as provided in §§ 2.2-2813 and 2.2-2825. Funding for the costs of compensation and expenses of the members shall be provided by the Office of the Governor serve without compensation or reimbursement for expenses  ] .

§ 2.2-2494. Powers and duties of the Board.

The Board shall have the following powers and duties:

1. Advise the Governor and other appropriate officials on the philanthropic community in Virginia in order to coordinate major philanthropic initiatives.

2. Assist in the development of programs to attract philanthropic capital from local sources and sources from other states.

3. Promote local charitable contributions through community foundations and giving circles.

4. Promote statewide programs aimed at developing and deploying effective solutions to systemic social issues in support of social progress.

5. Assist in the response to any disasters in Virginia.

6. Develop an annual Virginia Philanthropy Symposium to provide education about and promote current philanthropic initiatives.

7. Submit an annual report to the Governor and the General Assembly for publication as a report document as provided in the procedures of the Division of Legislative Automated Systems for the processing of legislative documents and reports. The chairman shall submit to the Governor and the General Assembly an annual executive summary of the interim activity and work of the Board no later than the first day of each regular session of the General Assembly. The executive summary shall be submitted as a report document as provided in the procedures of the Division of Legislative Automated Systems for the processing of legislative documents and reports and shall be posted on the General Assembly's website.

§ 2.2-2495. Staffing.

The Office of the Governor shall provide staff support to the Board. All agencies of the Commonwealth shall provide assistance to the Board, upon request.

§ 2.2-2496. Sunset.

This chapter shall expire on July 1, 2021.

2. That the initial appointments of nonlegislative citizen members of the Advisory Board on Philanthropy and Social Innovation, as created by this act, shall be staggered as follows: (i) of the three appointments by the Speaker of the House of Delegates, one shall be appointed for a term of one year, one shall be appointed for a term of two years, and one shall be appointed for a term of three years; (ii) of the three appointments by the Senate Committee on Rules, one shall be appointed for a term of one year, one shall be appointed for a term of two years, and one shall be appointed for a term of three years; and (iii) of the six appointments by the Governor, two shall be appointed for terms of one year, two shall be appointed for terms of two years, and two shall be appointed for terms of three years.

3. That the provisions of this act shall not become effective unless an appropriation effectuating the purposes of this act is included in a general appropriation act passed in 2018 by the General Assembly that becomes law.
